NDA generator

Fill in a form to create a one-way or mutual non-disclosure agreement: 12 articles, a live preview, then a PDF or text file. Not legal advice.

How to create an NDA

  1. 1

    Choose one-way or mutual

One-way protects information that flows in a single direction; mutual protects both sides when the conversation goes both ways.

  2. 2

Enter the parties, purpose and term

Add both legal names, who signs for each side, the purpose, what counts as confidential, and how long the agreement and the duty of secrecy last.

  3. 3

    Check the preview and download

The agreement appears as you type: twelve numbered articles and a signature block for both parties. Download a PDF to sign or plain text to edit.

What this NDA generator gives you

This NDA generator asks for the facts of your deal and nothing else: both parties with their legal names, addresses and signers, the purpose of the disclosure, the effective date, what counts as confidential, the exclusions, how long the agreement runs and how long secrecy survives it, and the governing law and venue. From those answers it builds a non-disclosure agreement of twelve numbered articles, from the parties and the purpose through obligations, return of materials and remedies to governing law and signatures, with a reminder on its first line that it is a template, not legal advice. The document is on screen while you type. Download it as an A4 PDF with page numbers and a signature block for both sides, or as a plain-text file to open in Word or Google Docs and edit. Every sentence comes from one fixed template, so the same answers always give the same agreement.

One-way or mutual NDA: which to choose

Choose one-way when only one side hands over secrets: a company briefing a freelancer, a startup showing its product to a possible buyer, a manufacturer sending drawings to a supplier. One side is the Disclosing Party, the other is the Receiving Party, and only the receiving side takes on duties. Choose mutual when both sides will share, as in partnership talks, a joint venture or the early stage of an acquisition. The articles on obligations, term and survival, return of materials and remedies are then written about each Party rather than about the Receiving Party, so the same duties bind both sides; the other articles read the same in both versions.

The clauses you can turn on and off

The definition of confidential information is assembled from the categories you tick, so an agreement about source code says source code rather than a generic phrase, and Something else takes your own wording. The exclusions article is built the same way, numbered without gaps. Selecting source code or customer data adds a paragraph keeping trade secrets protected for as long as the law treats them as trade secrets, past the end of the term. Turning on liquidated damages adds a paragraph with the amount you enter; leaving it off keeps the remedy to an injunction and proven actual loss. Leave governing law or venue blank and the article prints blank lines to fill in by hand, and the page warns you about it: an agreement that silently picked a jurisdiction for you would be worse.

Party names never leave this tab

The names, addresses, purpose and terms you type are read from the form, and the agreement is assembled in your browser and written straight to your download. There is no model call and no upload of any kind. A draft of the form is kept in this browser under pulsarkit.draft.nda for thirty days so you do not lose your work, and one button clears it.

Frequently asked questions

Is this NDA generator free?

Yes. There is no account to create, no payment form and no watermark on the document. Fill in the form, check the preview and download the PDF or text file as many times as you need.

What is the difference between a one-way and a mutual NDA?

A one-way NDA protects information flowing in one direction: one party discloses, the other keeps it secret. A mutual NDA puts the same duties on both sides and is the right choice whenever both parties expect to share something, such as in partnership or acquisition talks.

Can I download the NDA as a Word document?

There is no .docx download. Choose Plain text under Download as and you get a .txt file, wrapped at 80 characters with article headings in capitals, that opens in Word, Google Docs or any editor, so you can change the wording before anyone signs. Choose PDF when the text is final and you want a fixed layout to print or sign.

What counts as confidential information?

Whatever you tick. The definition article lists the categories you select (technical, business, financial, customer data, source code, designs, personnel or your own wording) inside a single sentence, and the exclusions article carves out information that was already public, already known, received from a third party, developed independently or required to be disclosed by law.

How long should the term of an NDA be?

The form starts at three years for both the term and the survival period, and each can be set from 1 to 10 years. The term is how long the agreement itself runs; survival is how long the duty of secrecy continues after it ends, so an agreement can run for two years while secrecy lasts five more. If you select source code or customer data, a paragraph keeps anything that qualifies as a trade secret protected for as long as it stays one.

Can I sign the NDA here?

You can add a signature image for each party before downloading: PNG, JPG or WebP, up to 10 MB. Draw one in Signature Maker and save it as a transparent PNG. To place a signature on the finished PDF instead, open it in Sign PDF. Both put a picture of a signature on the page; neither adds a certificate-based digital signature.

Does this use AI to write the agreement?

No. The document is a fixed template with your answers substituted into it. There is no model call on this page at all, which is why the result is instant, free and identical every time you generate it from the same answers.

Is an NDA made with this generator legally binding?

No template can promise that. Whether an NDA holds up depends on the law that governs it, the facts of your deal and how it is signed, and this page cannot judge any of those. What you get is a complete draft built from common commercial practice, and the document says on its first line that it is a template, not legal advice. Have a qualified lawyer review it before you sign, especially when the information at stake is valuable.
